1. Acceptance of These Terms

These Terms and Conditions (the "Terms") are a binding agreement between you and Chirp ("Chirp", "we", "us", or "our"). They govern your use of the Chirp mobile application, the Chirp web registration portal, the Chirp administrative console, the Chirp API, and any related services (collectively, the "Services").

By creating an account, downloading the app, accepting an invitation from a Camp, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

These Terms incorporate by reference Chirp's Privacy Policy and any Camp Customer agreement that governs your Camp's subscription.

IMPORTANT — PLEASE READ CAREFULLY. Section 19 contains a binding arbitration agreement and a class-action waiver that affect your legal rights. Sections 9, 10, and 11 describe the safety limitations of the Services and explain that Chirp is not a substitute for emergency services or 911.

2. Eligibility and Accounts

2.1 Age and Authority

You must be at least 18 years old to create a Chirp account, except where a Camp grants login access to a teen leader who must be at least 13 years old (and who must have parental consent on file with the Camp). By creating an account, you represent that you meet these requirements and, if you are creating an account on behalf of an organization, that you have authority to bind that organization to these Terms.

You are responsible for keeping your password and device secure, for all activity that occurs under your account, and for promptly notifying Chirp of any unauthorized use. You may not share your account credentials. You should sign out from any device you no longer control.

2.4 Camp Customer Relationship

Most users access the Services through a Camp Customer that has subscribed to Chirp. The Camp Customer is the controller of its data and is responsible for adding and removing staff accounts, obtaining verifiable parental consent for the collection of camper data, providing all legally required notices to staff regarding location tracking and communications recording, and configuring retention, geofence, and privacy settings appropriately for the Camp's jurisdiction. If your Camp's subscription ends, your access to the Services will end as well.

3. Subscription, Trial, and Billing

3.1 Plans

Chirp is offered as a paid subscription to Camp Customers, with pricing and capacity tiers described at chirp.camp/pricing or in a separate order form. Some plans include a free trial period; trial terms are stated at signup.

3.2 Billing through Stripe

Chirp uses Stripe to process subscription payments. By providing payment information, the Camp Customer authorizes recurring charges per the selected plan. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

3.3 Cancellation and Refunds

A Camp Customer may cancel a subscription at any time from the admin console; cancellation takes effect at the end of the then-current billing period, and the Camp will retain access through that period. Except where required by law, fees already paid are non-refundable. Chirp reserves the right, in its sole discretion, to issue partial refunds or credits.

3.4 Taxes

Stated fees do not include taxes. The Camp Customer is responsible for all sales, use, value-added, and similar taxes other than taxes on Chirp's net income.

You agree that you will not, and will not permit any other person to:

Violation of this Section may result in immediate suspension or termination of your account and removal of offending content, and may be reported to law enforcement.

5. User Content and License

"User Content" means any data, message, photograph, voice recording, document, location data, or other content you or your Camp submits, transmits, or stores through the Services.

5.1 Ownership

As between you and Chirp, the Camp Customer owns its User Content. Individual users retain any rights they have under applicable law in content they personally create.

5.2 License to Chirp

You grant Chirp a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, copy, and process User Content as necessary to operate, secure, and improve the Services and to comply with law. This license terminates when User Content is deleted from the Services, except (a) for retention required by law or (b) for de-identified, aggregated data that cannot reasonably be used to re-identify any individual.

5.3 Responsibility for User Content

You are solely responsible for User Content you submit. You represent that you have the rights and consents necessary to submit it, including, where applicable, parental consent for camper data, photos, and medical information. You agree that Chirp may, but is not required to, remove User Content that violates these Terms.

5.4 Feedback

If you provide Chirp with suggestions, ideas, or feedback, you grant Chirp a perpetual, royalty-free license to use that feedback without obligation to you.

6. Camp Customer Responsibilities

To support these obligations, Chirp implements a layered consent model: each camper-create flow requires a per-camper admin attestation; whenever a parent's email address is provided, Chirp issues a direct notice to that parent and gates emergency SMS/email and photo/medical-document features behind the parent's confirmation. The Camp Customer is responsible for ensuring its own consent paperwork is consistent with these flows.

The Camp Customer agrees to indemnify Chirp under Section 18 for any third-party claim arising from the Camp's failure to obtain required consents or to provide required notices.

7. Communications, Push, and SMS

7.1 In-App Communications

The Services support direct messaging, group chat, announcements, and (where enabled) walkie-talkie voice messages. Communications are not end-to-end encrypted; authorized Chirp personnel may, in narrow circumstances, access content as described in our Privacy Policy.

7.2 Push Notifications

By granting notification permission, you consent to receive transactional and safety-related push notifications via Apple Push Notification service (via Expo) and Firebase Cloud Messaging (via Expo). You can disable notifications in device settings; doing so may disable safety alerts.

7.3 SMS to Parents and Emergency Contacts

The Services use Twilio to deliver emergency SMS to phone numbers a Camp has stored on a camper profile. Before any phone number is used for SMS, the Camp's authorized administrator must affirmatively attest within the Chirp app that the parent or guardian who owns the number has consented to receive emergency SMS at that number; SMS sending is gated on that attestation. By providing a phone number to a Camp for emergency-contact purposes, the recipient agrees to receive transactional SMS from the Camp via Chirp. Message frequency varies based on emergencies. Standard message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for help, or contact hello@chirp.camp. 7.4 Voice Recording Notice

Where the walkie-talkie or voice-message feature is enabled, the Services record audio from your device when you initiate a transmission. By using this feature, you consent to being recorded for the purpose of communicating with your Camp team. Camp staff in jurisdictions with all-party consent recording laws are responsible for ensuring that all parties to a recorded conversation have consented.

8. Location Services

The Services include staff-location features (live position on a Camp map, geofence enter/exit events) that operate only when (a) the Camp has enabled the feature, (b) you have granted location permission to the app, and (c) you are signed in. You may revoke location permission at any time from device settings; doing so may disable safety features your Camp depends on.

Background location is collected only with your "Always Allow" permission. Chirp does not track campers via GPS. Location features apply to staff (Admin and Counselor) accounts only.

9. Critical Safety Disclaimer

CHIRP IS NOT A SUBSTITUTE FOR EMERGENCY SERVICES. In any emergency involving immediate risk to life, health, or property, call 911 (or the equivalent emergency number in your jurisdiction) first and follow your Camp's emergency response procedures.

The Services are a communications and coordination tool that may help your Camp respond to incidents. They depend on cellular and Wi-Fi connectivity, third-party push and SMS infrastructure, device battery, GPS accuracy, user actions, and many other factors that are outside Chirp's control. Messages, alerts, and notifications may be delayed, undelivered, or duplicated. Geofence and location data may be inaccurate, stale, or unavailable. The walkie-talkie feature is not a public-safety land-mobile-radio system and is not certified for use as one.

You and your Camp must not rely on the Services as a sole or primary means of emergency communication or life-safety monitoring.

10. Weather Alert Disclaimer

Chirp surfaces weather alerts sourced from the National Weather Service ("NWS") and other public or commercial providers. Chirp does not generate weather alerts and does not certify their accuracy, completeness, or timeliness. Weather alerting is a best-effort feature and may be delayed or missed entirely due to upstream provider, network, device, or notification-platform issues. You and your Camp must use independent judgment, official sources, and trained meteorological resources for life-safety weather decisions.

11. Safety Protocols Disclaimer

Chirp supports configurable safety protocols (e.g., missing camper, severe weather, medical response). These protocols are templates and coordination aids. They do not replace your Camp's policies, training, drills, or qualified safety personnel. Chirp does not direct, supervise, or guarantee any Camp's emergency response. The Camp Customer is solely responsible for the design, training, execution, and outcomes of its safety procedures.

12. Third-Party Services

The Services interoperate with third-party providers (e.g., Apple, Google, Stripe, Twilio, Resend, Expo, Cloudflare, Sentry, the National Weather Service, Render). Use of those providers is governed by their own terms and privacy practices. Chirp is not responsible for third-party services and disclaims all liability arising from them.

13. Intellectual Property

13.1 Chirp's Rights

The Services, including all software, designs, text, graphics, and the Chirp name and logos, are owned by Chirp or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely as permitted by these Terms.

13.2 Reservation of Rights

All rights not expressly granted are reserved. Nothing in these Terms transfers ownership of the Services or of any of Chirp's intellectual property to you.

13.3 DMCA / Copyright Complaints

If you believe content on the Services infringes your copyright, please send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to hello@chirp.camp. Repeat infringers will be terminated.

14. Suspension and Termination

We may suspend or terminate your access to the Services, or any portion of them, at any time, with or without notice, if we reasonably believe (a) you have violated these Terms; (b) your use poses a security, legal, or operational risk to Chirp, the Camp, or other users; or (c) we are required to do so by law. We will provide notice where reasonably possible.

You may stop using the Services at any time, and a Camp Customer may cancel its subscription per Section 3. Upon termination, the licenses granted in Section 5.2 continue only for the limited purposes described there.

The following sections survive termination: 5 (license rights and feedback), 9–11 (safety disclaimers), 13 (intellectual property), 15–19 (warranty disclaimers, indemnification, limitation of liability, dispute resolution), and any other provisions that by their nature should survive.

15. Beta Features

We may make beta, experimental, or "early access" features available, identified as such. Beta features are provided AS IS, may change or be discontinued, and may have higher rates of bugs and outages than the rest of the Services. You agree not to rely on beta features for safety-critical operations.

16. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. CHIRP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, ACCURATE, OR SECURE, OR THAT MESSAGES, ALERTS, OR NOTIFICATIONS WILL BE DELIVERED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHIRP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, EMOTIONAL DISTRESS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF CHIRP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CHIRP'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY THE CAMP CUSTOMER TO CHIRP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply to all claims, whether based in contract, tort (including negligence), strict liability, or any other theory. Some jurisdictions do not permit the limitation of certain damages, in which case the limitations above apply to the fullest extent permitted by law.

18. Indemnification

You and your Camp will defend, indemnify, and hold harmless Chirp, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claim, demand, suit, or proceeding, and any related losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees), arising out of or relating to: (a) User Content you or your Camp submitted; (b) your or your Camp's violation of these Terms or applicable law; (c) your or your Camp's failure to obtain required parental, staff, or recipient consents; (d) your or your Camp's negligence or willful misconduct; or (e) infringement of a third party's intellectual property or privacy rights by you, your Camp, or User Content.

19. Dispute Resolution; Arbitration; Class Waiver

READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, AND IT WAIVES YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

19.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting hello@chirp.camp. We will try in good faith to resolve any dispute within sixty (60) days.

19.2 Binding Arbitration

If the dispute is not resolved informally, you and Chirp agree to resolve it by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, for Camp Customer disputes, its Commercial Arbitration Rules). The arbitration may be held by videoconference, and judgment on the award may be entered in any court of competent jurisdiction.

19.3 Class Action Waiver

YOU AND CHIRP AGREE TO BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. If a court determines that this waiver is unenforceable, the entire arbitration agreement is void.

19.4 Exceptions

This Section does not bar (a) small-claims actions in your local small-claims court, (b) actions to enjoin actual or threatened infringement of intellectual property, (c) any claim that cannot be arbitrated as a matter of law, or (d) any non-waivable right under applicable law.

19.5 30-Day Opt-Out

You may opt out of this arbitration agreement by sending a written notice to hello@chirp.camp within 30 days of first accepting these Terms. Your notice must include your name, your Camp, and the statement: "I opt out of the arbitration agreement in the Chirp Terms."

20. Governing Law and Venue

These Terms are governed by the laws of the United States and, to the extent applicable, the State in which Chirp is principally based, without regard to conflict-of-laws rules. Subject to Section 19, any action that is not subject to arbitration must be filed in a court of competent jurisdiction in the United States.

21. Apple App Store and Google Play Terms

If you obtained the Chirp app through the Apple App Store or Google Play, the following additional terms apply:

22. Export and Sanctions Compliance

You may not use, export, or re-export the Services in violation of U.S. export-control or sanctions laws. You represent that you are not located in, and are not a national or resident of, a country subject to U.S. embargo, and that you are not on any U.S. or other applicable list of restricted parties.

23. U.S. Government Users

The Services are "commercial computer software" under FAR 12.212 and DFARS 227.7202. U.S. Government use is subject to these Terms and to no other rights.

24. Force Majeure

Neither party will be liable for any delay or failure to perform (other than payment obligations) caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, network or utility outages, labor disputes, acts of war or terrorism, governmental action, or pandemic.

We may revise these Terms from time to time. If we make material changes, we will notify Camp Admins by email or in-app at least 30 days before the change takes effect. Your continued use of the Services after the effective date of revised Terms constitutes acceptance.
